is it that hard to swap the original 289 out with a 351w? much things i would have to change?

No, and lots of information is available on the net since a lot of people have done it. You will incur some cost with new headers and exhaust, but Hooker makes a set for the conversion.

I've done it w/ my 67 fastback, I was able to use heddman headers from a 289/302. The swap is fairly easy.
