Well the gskt is actually a "O" ring that should come with the new t-stat. Use a new one! Second, the t-stat is located in the lower radiator hose close to the oil filter area. When you take out the old t-stat you will automatically lose all the coolant from the radiator, no 2 ways about it. You cannot change the t-stat fast enough to prevent it from happening!
